01Introduction
These Terms and Conditions constitute the legal framework governing the use of GlobalCheck and all services and features associated with it.
Creating an account, signing in, subscribing to the service, or using the platform in any manner constitutes an acknowledgement by the user or using organization (the Customer) that they have read, understood, accepted, and agreed to comply with these Terms and Conditions.
The platform is provided by T & S Textiles (the Company) in its capacity as the owner, developer, and operator of GlobalCheck.
02Definitions
For the purposes of these Terms and Conditions, the following terms shall have the meanings set out below:
Platform: The GlobalCheck automated system for name screening and verification of compliance and financial crime requirements.
Company: T & S Textiles in its capacity as the owner and provider of GlobalCheck.
Customer: Any institution, company, or person granted the right to use the platform.
User: Any person granted access to the platform by the Customer.
Services: Screening, analysis, reporting, alert management, and support services.
Customer Data: All data or information entered or processed by the Customer through the platform.
Screening Results: Outputs and reports generated by searches and matching operations within the platform.
Watchlists: Local and international sanctions lists, politically exposed persons (PEP), adverse media, and other compliance databases.
03Nature of the Service
GlobalCheck provides technical assistance to support compliance and risk management activities and is not a substitute for the Customer's internal procedures or professional and legal decisions.
Screening results are analytical indicators based on the data available at the time of the search and do not constitute a final judgment regarding any person, entity, or transaction.
The Customer remains ultimately responsible for reviewing the results and making the appropriate decision in accordance with its internal policies and legal obligations.
04Data Sources and Watchlists
The platform relies on data sources and information databases that may include:
- International sanctions lists.
- Politically exposed persons (PEP) lists.
- Adverse media databases.
- Public sources and information provided by data providers.
The Customer acknowledges that:
- The data is obtained from external sources.
- The Company does not own or control all data sources.
- The Company does not guarantee that the data is error-free, complete, or immediately updated.
- Updates, amendments, or deletion of data at its original source are outside the Company's control.
- Data sources may be changed, replaced, suspended, or modified for technical or regulatory reasons.
- The Company is not responsible for errors, delays, or interruptions caused by external data providers.
05Screening Results and Similarities
Searches may produce similarities between different names or entities.
- The platform may produce false positive results.
- Reviewing and verifying results is the Customer's responsibility.
- The final decision to accept or reject a relationship or transaction belongs solely to the Customer.
The Company is not responsible for any decision made by the Customer based on platform results without conducting the necessary review.
06Customer Obligations
- Use the platform in accordance with applicable laws and regulations.
- Enter accurate and correct data.
- Ensure that it has the legal right to process the entered data.
- Use the platform only for legitimate compliance purposes.
- Maintain the confidentiality of platform-related information.
- Do not share accounts with unauthorized persons.
- Protect passwords and authentication methods.
- Notify the Company immediately of suspected unauthorized use.
- Maintain records required by regulatory authorities.
- Accept responsibility for all activity conducted through its accounts.
- Retain any required backups of its data and reports before service termination.
07Prohibited Uses
- Using the platform for any unlawful activity.
- Using it for money laundering or terrorist financing.
- Attempting to compromise, disrupt, or disable the platform.
- Reverse engineering the platform.
- Copying, modifying, or reselling the platform.
- Sharing accounts or access credentials with unauthorized parties.
- Using unauthorized automated tools.
- Extracting data in bulk.
- Using the platform to provide services to third parties without Company approval.
- Removing the GlobalCheck name, logo, or copyright notices.
08Account Security
- Protect usernames and passwords.
- Do not share authentication codes or access credentials.
- Notify the Company immediately of any breach or unauthorized use.
- The Customer is responsible for all activity conducted through its accounts.
09Data Protection and Privacy
The Company shall take appropriate technical and organizational measures to protect data.
Customer Data remains the exclusive property of the Customer and will not be used by the Company for commercial or marketing purposes without the Customer's written consent.
The Company may disclose information only in the following cases:
- Where disclosure is legally required.
- In response to a request from a competent judicial or regulatory authority.
- Where required by technical service providers bound by confidentiality and data-protection obligations.
10Confidentiality
Both parties shall maintain the confidentiality of exchanged information and shall not disclose it to any unauthorized party.
Confidential information includes:
- Customer data.
- Reports.
- Screening results.
- System information.
- Technical and commercial documents.
The confidentiality obligation survives termination of platform use.
11Intellectual Property
All intellectual property rights relating to GlobalCheck belong exclusively to the Company, including software, source code, databases, designs, trademarks, interfaces, and algorithms.
Use of the platform does not grant the Customer any ownership right or any right to redistribute, license, or exploit any part of it outside the agreed scope.
12Updates and Maintenance
The Company reserves the right to perform security updates, performance improvements, feature development, and technical or regulatory modifications.
Some updates may require temporary service interruption, and the Company will make reasonable efforts to notify Customers where possible.
The Company aims to provide a high level of service availability but does not guarantee uninterrupted service in cases of maintenance, data-provider updates, or circumstances beyond its control.
Continued use of the platform after updated Terms and Conditions are published constitutes acceptance of the updated terms, unless otherwise required by law or written agreement.
13Technical Support
The Company provides technical support in accordance with the applicable service level. Support includes resolving technical issues, assisting users, and addressing account-related problems.
Support does not include modifying the Customer's internal systems, repairing Customer devices or networks, or developing new features that have not been separately agreed.
14Fees and Payment
The Customer shall pay the fees applicable to platform use in accordance with the relevant proposal, agreement, or invoice.
The Company may suspend the service for non-payment after notifying the Customer.
Fees do not include taxes or government charges unless otherwise stated.
15Service Suspension or Termination
The Company may suspend or terminate use of the platform in the following cases:
- Violation of these Terms and Conditions.
- Misuse of the platform.
- Unlawful use.
- Non-payment.
- A security or technical threat.
16Limitation of Liability
The Company is not responsible for:
- Decisions made by the Customer.
- Screening results derived from external data.
- Business interruption or loss of profits.
- Errors resulting from misuse.
- Failures outside the Company's control.
The Company's total liability, if any, shall not exceed the fees paid by the Customer during the preceding twelve months.
17Force Majeure
The Company shall not be responsible for interruption or delay caused by circumstances beyond its control, including natural disasters, wars, large-scale cyberattacks, internet or electricity outages, or suspension of service or data providers.
18Regulatory Compliance
The Customer remains responsible for complying with requirements relating to:
- Anti-Money Laundering (AML).
- Counter-Terrorist Financing (CTF).
- Sanctions requirements.
- Know Your Customer (KYC).
- Data protection.
The platform is an assistive tool within the Customer's compliance framework.
19Governing Law and Jurisdiction
These Terms and Conditions are governed by the applicable laws of the State of Palestine.
The competent courts of Ramallah shall have jurisdiction unless otherwise agreed in writing.
20Complaints and Suggestions
The Customer may submit complaints, observations, or suggestions through the platform portal, the designated support email address, an electronic complaint form where available, or any other method approved by the Company.
The Company shall record complaints, assign a reference number, review and verify the details, respond within a reasonable period, and take appropriate corrective action where necessary.
Submitting a complaint does not oblige the Company to accept it where it is found to be incorrect or inconsistent with these Terms and Conditions.
The Company may use suggestions or feedback to improve the platform without creating a financial obligation or transferring intellectual property rights to the Customer.
21Notices and Communications
Official communication methods between the Company and the Customer include the registered email address, SMS messages where used, in-platform or website notifications, and approved official correspondence.
The Customer shall keep its contact information accurate and notify the Company immediately of any change.
Notices sent through the approved methods are deemed received and legally effective from the date of sending unless the Customer proves otherwise.
These methods may be used for regulatory notices, security alerts, maintenance notices, platform updates, amendments to these Terms and Conditions, invoices, payment demands, and responses to complaints or requests.
22Customer Acceptance
By using GlobalCheck, the Customer confirms that it has read these Terms and Conditions, understood the nature and limitations of the service, and accepted all provisions contained herein.
